Giora_BitanGiora served in senior management positions at Scitex Corporation for over 14 years, 9 of which as Executive Vice President and CFO. At the time, Scitex employed over 3,500 people worldwide and its sales exceeded $700 million. At Scitex, he raised over $500 million in several private and public offerings and was responsible for completing a large number of mergers and acquisitions. During the past 5 years, Bitan was a General Partner at Giza Venture Capital, a leading Israeli VC firm, where he focused on investments in the communications and software sectors.
It may be interesting to note that Eyal Desheh, Giora?s successor as CFO at Scitex, is  member of ECI?s board of directors. Eyal is currently the CFO of Check Point Software Technologies Ltd.

With about $650M in annual revenues, the Ramat Gan, Israel based company ECI Telecom offers telecommunications solutions for next generation telecommunication networks. The compay has three main divisions: Optical Networks Division, Broadband Access Division, and Data Networking Division.

the ExScite’s Efi and Dalya Arazi hosted a party

In May 2006, the ExScite’s Efi and Dalya Arazi hosted a party in their new home in Herzlia Pituah (not far from what used to be called Scitex corporation).
The nostalgic evening was exciting and ExScite’ing. Several dozens of Israeli high-tech executives and politicians, as well as former friends from Efi’s days at the helm of Scitex and EFI, came to show their love to Efi.
The evening was well attended and included good food, dancing, a short movie highlighting Efi’s lifetime achievements, and even a personal recorded message from the new Israeli Prime Minister Mr. Ehud Olmert.

Scailex Sold 49.4% of Shares Announces Changes in its Principal Shareholders and Management
* Eran Schwartz appointed Chairman of the Board of Directors
* Yahel Shachar, Scailex’s CFO, appointed Chief Executive Officer
* 49.4% of ownership sold to Perochemicals company for $165M

Tel Aviv, Israel – July 18, 2006.      Scailex Corporation Ltd. (formerly: Scitex Corporation) (NASDAQ & TASE: SCIX) today announced that its principal shareholders, Clal Industries and Investments Ltd. and Discount Investments Corporation Ltd., informed Scailex that they completed the sale of all of the 18,800,255 Scailex shares held by them, representing approximately 49.4% of Scailex’s outstanding share capital, to a fully owned subsidiary of Israel Petrochemicals Enterprise Ltd. (IPE), an Israeli holding company whose shares are traded on the Tel Aviv Stock Exchange. The shares were acquired for an aggregate purchase price of $165 million, and additional $2.6 million to be paid within 10 business days
from closing due to an adjustment in the purchase price relating to the $12.6 million tax refund received by Scailex (as reported yesterday). The purchase price is subject to certain additional adjustments according to the sale agreement.
In connection with the completion of the transaction, eight of Scailex’s current directors resigned from the Board – Arie Mientkavich, Shimon Alon, Avraham Asheri, Raanan Cohen, Avi Fischer, Nachum Shamir, Shay Livnat and Ophira Rosolio-Aharonson. The following seven new directors joined the Board – Eran Schwartz, Irit Ben-Ami, Dr. Arie Ovadia, Modi Peled, Arie Zief, Arie Silverberg and Shalom Singer, effective immediately. Mr. Eran Schwartz, CEO of IPE, was appointed Chairman of the Board of Directors, replacing Mr. Arie Mientkavich, who served as the Chairman since June 2006. The ExScite (Ex-Iris) John Ingraham has recently embarked on a new endeavor in Hanover. BlickTek was founded by John and a partner to provide Imaging Solutions, Financial Services, Communication Localization and Business consulting services in Europe.

John has worked in the field of imaging at: IRIS Graphics (a Scitex company), ColorGate Digital Output Solutions, GmbH, Lasersoft Imaging, AG, Oak Technology (Zoran), Lyson Limited.
Originally from the US, John currently works and resides in Germany.

 

Based in Hanover Germany, BlickTek provides Financial Services, Communication Localization, Business consulting and Imaging Solutions services, which includes: locating new markets and technologies, education and training, developing new applications and products.

March 15, 2006 (Amsterdam) John Ingraham of BlickTek gave a presentation entitled Impact of MicroSoft XPS on InkJet and Print Market (PDF) (click on the link to see the presentation),  at the 29th Global Inkjet and Thermal Printing Conference in Amsterdam. Microsoft XPS, the new document and print format and print workflow in Microsoft Vista, will provide significant improvements with regards to image quality and color fidelity over the existing GDI printer pipeline. XPS also appears to be a strategic initiative by MicroSoft to compete against Adobe and PDF. Printer, RIP and Software manufacturers will need to make changes to their existing applications and drivers in order to take advantage of XPS print and color capabilities.

Xerox To Buy Israeli Scitex spin-off XMPie For $40-50m

XMPie develops variable data publishing (VPD) products, offering a complete platform for printing, data control, interface, document design, data access and data retrieval, the transfer of data between different electronic media (printing, Internet, e-mail, and cellular messaging), and e-commerce.

PersonalEffect
XMPie’s technology is mostly used for advertising sheets and customized advertising through the company’s PersonalEffect solution. The company’s products can collate information about customers from enterprise customer relation management (CRM) systems, and customize advertising material and newsletters sent to them.

XMPie distributes its products through partners, including Xerox, HP, Electronics for Imaging Inc. (Nasdaq: EFII), Sakata Inx Corp. (TSE:4633) of Japan, Creo (now part of the Kodak Graphic Communications Group), and Israeli start-up Press-sense Ltd., which also closely cooperates with Xerox.

Company History
XMPie was founded by the ExScite’s: chairman and CTO Jacob Aizikowitz, chief software architect Israel Roth, and EVP R&D Reuven J. Sherwin, all former Scitex managers. Scitex not only was the source of XMPie’s human capital, but also supplied its starting capital with a $500,000 investment. Jerusalem Venture Partners (JVP) later became the company’s largest shareholder after investing $13 million in several financing rounds.

In 2002, XMPie acquired some of the activities of Nuvisio as part of a deal with US microinvesting company BabyMint. In early 2005, Eyal S. Goldwerger was appointed CEO. The company currently has 40 employees at its New York headquarters and Netanya development center. The company raised $15 million from JVP, Scitex and, last year, from Carmel Ventures fund Plenus Venture Lending Fund.

As mentioned above, XMPie is Xerox’s first acquisition in Israel. Xerox Israel Ltd., under general manager Yoram Levanon, is a sales and services subsidiary. Xerox Israel has 95 employees, and the company has installed 70 XMPie systems in Israel under its partnership with Xerox.

The acquisition of XMPie is a successful exit for JVP, giving it a three-fold return on its investment. It is not a fantastic exit, however, of the kind seen in other deals.

XMPie was not available for comment. JVP declined to comment. Yoram Levanon said, I am very pleased at Xerox’s decision to invest in Israel.

Eastman Kodak Company has named the ExScite Robert Bob_CarmosinoVP Sales, Global and Strategic Accounts, for its Graphic Communications Group (GCG). Carmosino has more than 20 years of sales management experience in driving profitable revenue growth both domestically and internationally.
At Kodak, Carmosino will be responsible for managing relationships with GCG?s largest customers. Carmosino will work closely with customers to understand their short and long term strategic business needs, and identify and develop solutions that best address them. He will report to Andrew Copley, Managing Director, Global Sales and Operations and Vice President, Eastman Kodak Company.
Carmosino has held key sales roles with Creo, including regional sales director and director, strategic and global accounts, and with Scitex America Corporation as director, national accounts and publishing. Most recently, Carmosino served as North American vice president of sales for Pure Acoustics Inc., a consumer electronics manufacturer.

Takemichi Watanabe
